Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the services provided by Novi Labs SRL ("we," "us, or "our"). The company is registered under the laws of Romania with the following details:

By accessing or using our site, you agree to comply with these terms. Please read them carefully, as they outline your rights, responsibilities, and legal obligations. If you do not agree to these terms, you should not use our services. We may update these terms from time to time, so please review them periodically.

Availability of service

We strive to provide a reliable service, but Place Pilot may be subject to temporary downtime for maintenance, upgrades, or other reasons. We do not guarantee continuous availability of the app, and you acknowledge that we shall not be liable for any interruption or unavailability of Place Pilot.

Content guidelines

Place Pilot is intended for sharing digital guidebooks only. Any other content is prohibited, including but not limited to, irrelevant content, offensive material, or spam.

Moderation

We reserve the right to moderate and remove any content that violates our content guidelines or is deemed inappropriate at our sole discretion. Our moderators may take action without prior notice.

User-generated content

Users are solely responsible for the content they upload to Place Pilot. We do not endorse or guarantee the accuracy, completeness, or reliability of any user-generated content. While we may moderate the content, we do not assume responsibility for poorly moderated content.

Limitation of liability

In no event shall Place Pilot, its affiliates, or their respective officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use Place Pilot.

Indemnity

You agree to indemnify and hold harmless Place Pilot, its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, suits, proceedings, disputes, demands, liabilities, damages, losses, costs, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way related to your access to or use of Place Pilot or your violation of these Terms.

Intellectual property rights

All content and materials provided on Place Pilot, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, are the property of Novi Labs SRL. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of Place Pilot without express written permission from Novi Labs SRL.

Privacy policy

By using Place Pilot, you agree to the collection and use of your personal information as described in our Privacy Policy. We collect minimal user data, including email, referral information, for the purpose of providing and improving our services. This data is securely stored and can always be queried or downloaded from your account profile page.

Subscription & billing

Your subscription is billed on a monthly basis at the beginning of each billing cycle. A billing cycle starts in the day you start your subscription. The payment is automatically charged to your selected payment method on the same date each month.

Proration & plan changes

If you upgrade or downgrade your subscription during a billing cycle, the cost will be adjusted using proration, as handled by our payment processor, Stripe. This means:

  • - If you upgrade to a higher-tier plan, you’ll be charged immediately for the price difference between your old and new plan, based on the remaining time in the billing cycle.
  • - If you downgrade, a credit for the unused portion of your old plan will be applied to your next invoice.

This ensures you only pay for what you use, making plan changes fair and seamless.

Refunds and subscription cancellation

If a subscription is canceled you will be given a credit in your Stripe account which you can use later for the next invoice payment. However if you do not want to use that credit and want a refund you can request a refund of that credit amount by contacting us using the contact form with the subject "Refund request". A refund request will be completed through a bank transfer to your provided bank account. The completion time is up to 30 days.

Deactivated guidebooks and shareable Links

Deactivating guidebooks within Place Pilot will deactivate any previously generated shareable links and make them unusable for sharing.

Affiliate Program Terms

Participation in the Affiliate Program

Users may apply to participate in the Affiliate Program by completing the affiliate registration process and any additional onboarding requirements requested by Place Pilot.

Place Pilot reserves the right to approve, reject, suspend, or terminate any affiliate account at its sole discretion.

Affiliate Commission

For each new customer successfully referred by an Affiliate through their unique referral link and who purchases a subscription to the Services, the Affiliate shall be entitled to a commission equal to one hundred percent (100%) of the first month's subscription fee paid by the referred customer, excluding any applicable taxes, including but not limited to Value Added Tax (VAT).

Commissions are earned only for new customers who have not previously held an account or subscription with Place Pilot.

No Self-Referrals

Affiliates are strictly prohibited from earning commissions through self-referrals. This includes, without limitation, purchasing subscriptions using their own referral link, creating multiple accounts, or otherwise attempting to generate commissions from their own activity or controlled entities.

Any commissions generated through self-referrals shall be deemed invalid and may be withheld, reversed, or cancelled at Place Pilot’s sole discretion.

Fraudulent, Abusive, or Invalid Referrals

Place Pilot reserves the right to reject, withhold, cancel, or reverse any commissions that are determined, in its sole discretion, to be the result of fraudulent, abusive, or invalid activity.

Fraudulent or abusive activity includes, but is not limited to:

  1. - fake or automated sign-ups (bots, scripts, or other non-human traffic),
  2. - misleading, deceptive, or misrepresented marketing practices,
  3. - incentivized sign-ups not expressly approved by Place Pilot,
  4. - cookie stuffing or similar tracking manipulation,
  5. - use of stolen, temporary, or invalid customer data,
  6. - any attempt to artificially inflate referral activity.

Place Pilot may also suspend or terminate the Affiliate’s account immediately in the event of suspected abuse or fraud, without prior notice.

Minimum Payout Threshold

Affiliate commissions shall accumulate in the Affiliate's account until the total payable amount reaches a minimum threshold of RON 250 (two hundred fifty Romanian Lei, approximately 50 Euros).

No payout shall be processed until the Affiliate's approved commissions meet or exceed this threshold.

Monthly Payout Process

Payouts are processed at the beginning of each calendar month for eligible Affiliates whose approved commission balance has reached the minimum payout threshold.

Where the payout threshold has been met, Place Pilot will send the Affiliate an email specifying the amount eligible for payment.

The Affiliate must issue and provide a valid invoice for the exact amount specified in the notification email. Place Pilot shall not be obligated to process any payout until the required invoice has been received and accepted.

Stripe Account and Identity Verification

As a condition for receiving commissions, Affiliates must successfully complete Place Pilot's designated Stripe onboarding process and comply with all identity verification, business verification, know-your-customer (KYC), anti-money laundering (AML), and other compliance requirements imposed by Stripe or applicable law.

Until Stripe confirms that the Affiliate's account is fully verified and eligible to receive payouts:

  1. - no commission payments shall be made
  2. - payout processing shall remain suspended
  3. - the Affiliate shall not receive monthly payout notification emails.

Any commissions accrued during this period may remain pending until payout eligibility has been established.

Payment Method

Approved commission payments will be transferred exclusively through Stripe to the Affiliate's connected Stripe account.

The Affiliate is solely responsible for configuring, managing, and maintaining any transfers from Stripe to their bank account, debit card, or other payment destination. Place Pilot shall have no responsibility or liability for delays, failures, fees, or issues arising from transfers initiated or managed by Stripe or the Affiliate.

Taxes

Affiliates are solely responsible for determining, reporting, and paying any taxes, duties, levies, social contributions, or other governmental charges arising from commissions received under the Affiliate Program.

Any VAT or similar taxes applicable to invoices issued by Affiliates shall be handled in accordance with applicable law.

Modification or Termination of the Affiliate Program

Place Pilot reserves the right to modify, suspend, or terminate the Affiliate Program at any time. Any changes will not affect commissions already validly earned prior to the effective date of such modification or termination unless otherwise required by law or necessary to prevent fraud or abuse.

Changes to Terms & Conditions

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will notify you about significant changes in the terms and conditions by sending a notice to the email address specified in your account or by placing a prominent notice on our site. Your continued use of the service after such changes constitutes your acceptance of the new Terms & Conditions.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Romania. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Romania.
